Biography
Brison Williams advises businesses, investors, and developers on complex high-stakes transactions where legal strategy and commercial objectives must align. He focuses his practice on mergers and acquisitions, corporate transactions, private securities offerings, and commercial real estate matters, representing buyers, sellers, lenders, developers, and business owners across the full spectrum of transactional work, including acquisitions and dispositions, asset and stock sales, corporate restructurings, large-scale development projects, leasing, and real estate title matters.
Brison routinely structures, drafts, and negotiates sophisticated transaction documents and serves as a trusted advisor on corporate governance, risk management, and deal strategy. Drawing on experience across a broad range of industries and transaction types, he delivers practical, business-driven solutions aligned with his clients’ strategic objectives.
Representative Work
- Represented buyers and sellers in private equity–backed and strategic mergers and acquisitions, including stock and asset sales and complex multi-step transactions, from letter of intent through post-closing integration
- Represented clients in the formation and structuring of real estate investment funds, bridge lending funds, and blind pool investment vehicles, including complex waterfall and governance structures
- Represented landlords and tenants in complex commercial leasing matters across retail, office, land, and mixed-use developments, including portfolio leasing for national and regional operators
- Represented syndicator regarding $175 million multifamily project, including private offering, land acquisition, and development support
- Represented private equity firm on numerous broker dealer and Regulation D private securities private offerings, including fund formation, corporate structuring, capital raising, and acquisition of fund assets
- Represented seller in corporate restructuring and $35 million asset sale of commercial landscaping company
- Represented real estate developer in acquisition of $110 million land acquisition and joint venture
- Represented real estate holding company in acquisition of 1,700-acre land assemblage in Ellis County
- Represented bank regarding restructuring of $22 million loan for a real estate development project
- Represented client in private placement of $50 million debt offering
- Represented startup business owner in debt and equity capital raising, corporate and operations restructuring, and renegotiations of vendor contracts
- Represented client in numerous municipal funded performance incentive agreements and infrastructure projects
- Represented REIT as landlord in leasing activities with leading national retailers and restaurant groups including Apple, Macy’s, Dick’s Sporting Goods, Nike, Gap, Foot Locker, Starbucks, Darden Restaurants, and Brinker International brands
