Biography

After receiving her law degree from Baylor Law School, Jordan McCarroll initially practiced equine, real estate, and general corporate law with a firm in Fort Worth.  In 2016, Jordan relocated to Dallas and joined Shields Legal.

Jordan represents clients in various sectors, handling their corporate transactional needs. Jordan’s clients are found across industries including oil and gas, technology, health care, and hospitality.

Jordan has been involved in the acquisition and sale of multimillion-dollar companies, as well as startup formations, entity and conglomerate reorganizations, and entity acquisitions. Jordan’s corporate practice also involves advising clients and assisting in equity offerings, corporate governance, management and ownership oversight, employee retention and termination, and proprietary information protection.

Jordan also assists numerous bank clients with preparation, negotiation, and filing of documents and instruments as required for complex real estate and commercial banking transactions. Many include not only multiple borrowers and guarantors, but also intricate collateral requirements.

Representative Work
  • Representation of seller in $150MM+ exit transaction by participation in risk management diligence, representations and warranty matters, disclosure matters, and general participation in transaction negotiations. These efforts included reviewing and organizing appropriate due diligence materials, reviewing, revising, and drafting relevant asset purchase agreement sections, as well as drafting and revising disclosure schedules and various ancillary documents.
  • Participated in drafting and structuring of terms and investment documents for convertible mezzanine financing round on behalf of client.
  • On behalf of manufacturing client, negotiated and drafted asset purchase documents for $20MM+ exit transaction involving private equity fund purchaser, which included: resolution and negotiation of purchase price, indemnity, and employment issues, as well as securing certain rights of seller client following closing.
  • On behalf of shipping and distribution client, negotiated and drafted equity purchase documents for multimillion-dollar transaction which included reorganization of seller structure prior to closing of transaction, as well as preparation and negotiation of various documents and disclosures for closing.
  • Represented and advised numerous state and national banks in 7- and 8-figure loan transactions involving traditional asset collateral, commercial real estate, and sponsor-backed acquisition financing.
  • Represented large inland marina by reviewing and redrafting all terms and requirements for slip lease / license program. This included process improvements for notice requirements, nuisance issues, and terms of use.
  • Private placements for publicly and privately held companies in the information and technology, hospitality, and other industries.
  • Ongoing representation of multiple privately held companies with respect to corporate governance, employment, and ownership matters.
  • Participation in owner and board meetings as required for advising, documentation, and corporate governance purposes.
