Brian Shields has built his legal career advising business leaders, professional managers, entrepreneurs, banks, and family offices on how to maximize value and manage risk in a wide variety of litigation and transactional matters.

Brian’s primary focus is complex commercial litigation, buy-side and sell-side mergers and acquisitions, investment transactions, corporate reorganizations, and commercial and multifamily real estate transactions.

Brian’s clients include banks, as well as a diverse mix of mid-size companies, growing entrepreneur-led companies, private equity companies, and mature single or multigenerational companies transitioning or exiting their business.  Industries in which Brian has depth of experience include real estate, restaurants and retail, banking, technology, energy, transportation and logistics, and pharmaceuticals.

Litigation

• As attorney in charge, represented forty (40) retired investors that were defrauded in an Oil & Gas Ponzi Scheme; successfully tried the case to a jury in federal court, Dallas, Texas resulting in a multi-million-dollar verdict for breach of contract and fraud
• Represented a billion-dollar real estate company in numerous litigations matters in multiple states for over a decade
• As attorney in charge, acted as outside general counsel for the nation’s third largest compounding pharmacy, including, multiple Federal and State court actions
• As attorney in charge, successfully defended a former Judge in a $50M lawsuit that was tried by a jury in District Court of Dallas County, Texas
• As attorney in charge, successfully prosecuted and defended numerous TROs and TI in State and Federal Courts in Texas involving complex commercial litigation matters
• As attorney in charge, acted as outside general counsel for an oil & gas company with revenue in excess of $100M, including numerous State and Federal litigation actions
• As attorney in charge, acted as outside general counsel for a multinational cryptocurrency company that is an industry leader in software development and “KYC” in the crypto sphere

Family Office

• Represented the nation’s third largest automotive after-market warranty and insurance company in a multitude of matters in numerous states nationwide
• As attorney in charge, represented a nationwide real estate company with over $150M revenue in a multiparty complex commercial litigation matter in Dallas County District Court
• Assisted a fourteen (14) lawyer trial team in the defense of a $150M lawsuit involving an energy generation plant in Texas
• Acted as outside general counsel for a nationwide home service provider, including the successful prosecution and defense of numerous litigation matters in various state and federal courts across the country. Managed multiple sell-side transactions for the company. Successfully defended and achieved a complete dismissal of a personally guaranteed $7MM debt involving the principal of the company
• Successfully defended and settled litigation against an accounting practice in North Texas

Transactions

• Advised, drafted, negotiated and closed all documents related to the purchase of a thirteen acre country club in North Texas with value of over $13MM
• Advised, drafted, negotiated and closed all documents related to the purchase of a highly desirable seven story mid-construction office building in Houston, Texas with a value of over $70MM
• Advised, drafted, negotiated and closed the sale of multiple multi-generational medical practices and surgery centers in North Texas
• Advised, drafted, negotiated and assisted with all documents related to the purchase of a highly desirable 200+ unit hotel and condominium in Colorado with a value of over $50MM

Restructuring

• Restructured holding company and multiple sub-LLCs for a national home services company operating in all fifty (50) states, including advised, drafted, negotiated and closed the successful sale of the company
• Advised, drafted and negotiated a capital raise for a $100MM crypto currency company that operates nationally and internationally
• Structured a nationwide real estate brokerage company as outside general counsel on all matters
